Sometimes, it’s not just the LPs who want to do a secondary deal. General Partners (GPs) might see that certain portfolio companies are brimming with potential but need extra time or fresh capital to maximize their value. Maybe the initial fund life is coming to an end. In this scenario, the GP can organize a transaction—commonly referred to as a GP-led restructuring (“GP-Led Restructuring”)—where assets transfer into a new vehicle, called a continuation fund (“Continuation Fund”).
